These Terms of Service (the "Terms") govern access to and use of the MastGuard platform, SDKs, and APIs (the "Service"), operated by AuxDynamics Inc. ("AuxDynamics", "we", "us"), a corporation headquartered in Calgary, Alberta, Canada.
1. Acceptance of terms
By creating an account, installing an SDK, calling our APIs, or otherwise using the Service, you agree to these Terms on your own behalf and, where applicable, on behalf of the organization you represent. If you do not agree, do not use the Service.
2. Service description
MastGuard is a governance, security, and compliance platform for AI agents. It monitors agent actions, evaluates them against customer-defined policies, routes designated decisions to human reviewers, maintains integrity-protected audit records, and generates compliance reports and evidence exports from those records.
MastGuard is a monitoring and compliance tool. It does not, by itself, make you compliant with any law or framework, and it is not a guarantee that your AI systems will behave safely or lawfully. You remain responsible for your AI deployments and your compliance outcomes.
3. Account responsibilities
- You are responsible for the agents you connect, the policies you configure, and the actions your AI systems take.
- You must keep your credentials and API keys confidential and notify us promptly of any suspected compromise.
- You must have the legal right to submit the data your agents send to the Service, including any personal information it contains.
- You must not submit protected health information on plans without a signed Business Associate Agreement (see the Privacy Policy).
4. Acceptable use
You must not use the Service to:
- Monitor or operate AI systems designed to harm people, or to facilitate unlawful surveillance, discrimination, or fraud.
- Probe, disrupt, or circumvent the security or integrity of the Service, including its audit ledgers and rate limits.
- Resell or white-label the Service without a written agreement with us.
- Violate applicable law, including privacy, export control, and sanctions law.
5. Plans, limits, and service levels
- Free plan: 50,000 events per month as a hard cap, 1 monitored agent, 7-day audit retention. Provided as-is, with no service level agreement.
- Pro plan: 2,000,000 events per month included, with additional usage metered and billed as overage. Subscription fees are billed monthly or annually in advance through Stripe.
- Enterprise plan: custom limits and pricing per order form, including a 99.9% monthly uptime service level agreement, HIPAA tier with BAA, and extended immutable retention.
- RedScan and ProvenanceGuard usage beyond plan quotas consumes prepaid scan credits, which are non-refundable but do not expire.
- You may upgrade, downgrade, or cancel at any time; downgrades take effect at the next billing period and may reduce retention and feature access.
6. Data ownership
Customer data belongs to the customer. For agent event data submitted to the Service, you are the data controller and AuxDynamics is a data processor acting on your documented instructions. We claim no ownership of your data, we do not sell it, and we do not use it to train AI models. On termination you may export your audit data during your plan's retention window.
7. Intellectual property
The MastGuard platform, including its detection systems, dashboards, and report engines, is proprietary to AuxDynamics. Our published SDKs (@auxdynamics/mastguard-agent-sdk and @auxdynamics/mastguard-sdk) are licensed under the MIT License; the license text in each package governs your use of that code. Feedback you submit may be used to improve the Service without obligation.
8. Liability limitations
To the maximum extent permitted by law: the Service is provided "as is" without warranties of any kind except as expressly stated in an Enterprise order form; AuxDynamics is not liable for indirect, incidental, special, consequential, or exemplary damages, or for lost profits, revenues, or data; and our aggregate liability arising out of the Service is limited to the amounts you paid us in the 12 months before the event giving rise to the claim.
MastGuard is a tool. You are responsible for the decisions your organization and your AI systems make, and for your own compliance outcomes.
9. Governing law
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules.
10. Dispute resolution
Before starting formal proceedings, both parties agree to attempt in good faith to resolve any dispute by negotiation between authorized representatives for at least 30 days. Unresolved disputes are subject to the exclusive jurisdiction of the courts of Alberta, sitting in Calgary. Nothing in this section prevents either party from seeking injunctive relief for misuse of confidential information or intellectual property.
11. Termination
- You may cancel your subscription at any time from the billing page; cancellation stops future charges.
- We may suspend or terminate accounts for material breach of these Terms, including abuse, non-payment, or unlawful use, with notice where practicable.
- Sections on data ownership, intellectual property, liability, governing law, and dispute resolution survive termination.
12. Changes to these terms
We may update these Terms from time to time. For material changes we will give account owners at least 30 days' notice by email and post the updated Terms on this page with a new effective date. Continued use of the Service after the effective date constitutes acceptance.
